The Practice Buy-In: Becoming an Owner With Borrowed Money

There are few sweeter sentences in a physician's career than "we would like to offer you partnership." It is recognition, security, and a seat at the table all at once. It also tends to arrive holding a substantial price tag, often financed, so before the celebration is over it is worth understanding exactly what you are being invited to buy.

A buy-in means purchasing an ownership stake in the practice. The money usually comes from a loan, or from a stretch of reduced compensation that pays down the stake over time, or some combination of the two. In plain terms, you are using borrowed money, or deferred income, to acquire an income-producing asset.

A handful of questions tend to separate a strong buy-in from a shaky one. How is the buy-in being valued, and is the price based on hard assets, accounts receivable, goodwill, or some formula? What have distributions to partners actually looked like over the past several years? What happens when a partner leaves or retires, because the buy-out terms tell you a lot about how you will eventually be treated?

The leverage angle deserves a clear eye too. Financing a buy-in can be entirely reasonable when the ownership stake reliably produces more than the loan costs you. It becomes risky when the projected returns are optimistic or the practice's economics are weaker than they appear from the associate's seat.

It is simply a reason to treat the offer as the significant financial and legal transaction that it is.
